The Ownership of Prescott Securities.

Prescott Securities is a wholly owned subsidiary of WHK Group, a listed Australian company (ASX: WHG).

The management of Prescott Securities and the individual advisers may be shareholders in, have options to buy shares in, or hold Performance Rights to shares in, WHK Group Limited. They may also participate in profit sharing arrangements based on the achievement of business objectives.

The WHK Group has a relevant interest in a number of administrative service providers, (Wrap Platforms), namely Wealth Wrap and Accumulus Wrap which may be recommended by advisers of Prescott Securities.

Any interests of WHK Group, Prescott Securities, your adviser or their associates in these or other administrative platforms will be detailed in your Statement of Advice.

Both WHK Group and Prescott Securities are Principal Members of the Financial Planning Association of Australia.

The head office of Prescott Securities has been located at its present site in Adelaide since 1987. Over the years the firm has had relationships with other organisations and acquired several local firms to create the business which operates today. The most notable of these acquisitions were Accumulus Ltd and Sanderson Blair in 2002 and Financial Management Services (FMS) in 2005.

In July 2005, Prescott Securities changed its name from Prescott Consultants. This change was a result of the firm gaining Market Participation status in the Australian Stock Exchange (ASX). Currently Prescott Securities is one of the largest independent stockbroking firms in South Australia.

Prescott Securities now has offices located in Sanctuary Cove and Robina in Queensland, Sydney, New South Wales and Perth, Western Australia. It is the intention of Prescott Securities to expand these offices over time to take advantage of the extensive opportunities these markets have to offer.
